BYLAWS EXTENSION
- Approval of recommendation for General Manager to extend the period for review of EWEB's Bylaws until June 1, 2003. (See Board back grounder.) Contact person is Roseanna McArthur, 484-2411, ext. 3267
BUSINESS SERVICE AGREEMENT
- Peacehealth (Access EAP) - Employee Assistance Program - Human Resources - Corporate Services Division. This is to provide professional counseling services to employees and families, as well as supervisory consultation, critical work incident debriefing, onsite training, career planning services, referrals for elder/legal/child care, wellness seminars, utilization reporting, program marketing, and benefits and advisory group participation. Cost of the contract for one year is $20,000. Contact person is Jean Meyers, 484-2411, ext. 3015.
- Advanced Security, Inc.- Contract Extension-Facilities Services Division. This extension would add $30,000.00 to the contract for security patrols and dispatch service until EWEB in-house Security Officers are hired and trained. Thereafter Advanced Security Inc. would be utilized for fill-in and special events through 2003. EWEBs regular service provider Rams Security Inc. was unable to provide regular service during January and February of 2003, so their contract was terminated. The funds for this service are budgeted for 2003. Contact person is Charlie Morris, 484-2411 ext. 3223.
INTERGOVERNMENTAL AGREEMENT
- Intergovernmental Agreement - Santa Clara Water District, Irvington Drive Main Replacement - Water Division. Lane County is rebuilding Irvington Drive from Northwest Expressway to River Road. EWEB and Santa Clara Water District (SCWD) have water facilities in the right-of-way that must be relocated to allow the County's contractor to proceed with the planned road improvements. SCWD wishes to rely on EWEB to design, coordinate and accomplish their portion of this relocation work. EWEB performs this type of work routinely under our longstanding contract with SCWD for ongoing water supply and maintenance of their system. However, given the unique nature and larger scope of this project, both parties feel that it is advantageous to identify specific terms and conditions for this work in a separate intergovernmental agreement
EWEB has completed design for the project, and has obtained the necessary permits to begin construction in mid-March. The budget estimate for SCWD's portion of this work is $397,000, to be reimbursed at actual cost plus applicable overhead margins. Under provisions of the agreement, EWEB will receive $300,000 in progress payments during construction and will receive final payment for the remaining balance due upon completion of the project. A copy of the proposed agreement is provided for Board review (see packet). This agreement has been reviewed/approved by legal counsel, and staff requests Board authorization for execution by EWEB's General Manager. OTHER
- Enabling Agreements for Financially Hedging Power Risk - Fiscal Services - Financial Service Division. Staff is requesting authority for the General Manager to enter into enabling agreements for financially hedging our power-related risks (ISDAs) with UBS and BofA. Therefore, we are asking for your approval of this item on the consent calendar on March 18, 2003. See Board packet for back grounder. Contact person is Dick Varner, 484-2411, ext. 3299.
